ARTICLE VII
THE NATIONAL EXECUTIVE COUNCIL

Section 1. The composition of the CAGBII National Executive Council shall be:

National Chairman

Charter International President

Charter National President

International Vice President for Administration

National Vice President for Administration

National Vice President for Operation

National Secretary General

Legislative Chairperson

National Judiciary

National Treasurer

National Assistant Treasurer

National Auditor

National Press Relations Officer

National Vice President for Operation for Northern Mindanao

National Vice President for Operation for Southern Mindanao

National Vice President for Operation for Rizal-Laguna

Section 2. Duties, powers and functions of the National Executive Council.

A. THE NATIONAL CHAIRMAN

1. He is the head and the Chief Executive Officer of the entire Colleagues of Amended GUARDIANS Brotherhood International, Incorporated (CAGBII).

2. He shall preside at all meetings and assemblies of the CAGBII in its national and international events.

3. He shall confirm and issue the appointment of the appointive officers in the National level.

4. He shall issue Executive Orders, rules, procedures, policies, and/or guidelines, not contrary to this By-Laws and laws of promulgated by the duly constituted authorities, on matters affecting the proper administration and operation of CAGBII.

5. He shall review for approval or disapproval all guidelines and other rules and regulations proposed by other members of the National Executive Council.

6. He shall create a Committee that shall take cognizance of matters affecting the administration and operations of CAGBII.

7. He shall oversee the implementation and enforcement of the Disciplinary Policy and the Grievance Procedure.

8. He shall perform all other duties and functions inherent to his position.

B. THE CHARTER INTERNATIONAL PRESIDENT

1. He is tasked to lead the International Extension Office (INEXO).

2. His other duties and responsibilities are clearly detailed in Article IX, Section 5 of this Constitution and By-Laws.

3. He shall perform all other duties and functions inherent to his position.

C. THE CHARTER NATIONAL PRESIDENT

1. He shall be directly reporting to the National Chairman and works with him in developing, instituting, communicating and implementing CAGBII's vision, mission and overall direction. He assures that the alignment of direction is properly communicated on a level that allows every member to feel that they are part of something bigger than themselves and that their role is strategically important to the organization.

2. He shall lead, guide, direct and evaluate the works of other executive leaders.

3. He shall encourage the participation of the executive leaders and meet regularly with the National Chairman to make sure that decisions the organization needs are well-thought-out and timely. He will then empower the executive leaders to cascade ideas and direction throughout the organization until every member understands their expected role and responsibilities for contribution.

4. He shall formulate and implement a strategic plan that will guide the direction of the organization, with inputs of members at every level of the organization to develop this strategic plan.

5. He shall oversee the complete operation of the organization in accordance with the direction established in the strategic plans.

6. The Charter National President together with the National Chairman frequently represents the organization in various civic organization responsibilities and activities in the local community, region and at the national level.

7. He shall perform all other duties and functions inherent to his position.

D. THE INTERNATIONAL VICE PRESIDENT FOR ADMINISTRATION

1. He shall assist the Charter International President in the leadership of the International Extension Office (INEXO).

2. His other duties and responsibilities are clearly detailed in Article IX, Section 5 of this Constitution and By-Laws.

3. He shall perform all other duties and functions inherent to his position.

E. THE NATIONAL VICE PRESIDENT FOR ADMINISTRATION is the Chief Administrative Officer of CAGBII.

1. Plans, develops, organizes, implements, directs and evaluates the CAGBII's administrative function and performance.

2. He shall assist the National President in all matters affecting the CAGBII administration.

3. He shall know and adhere to the CAGBII Constitution and By-Laws, policies and procedures concerning the organization.

4. He shall supervise and oversee the general administration of the entire National Executive Council Office.

5. He shall develop a strategic plan with measurable goals and objectives that might include membership recruitment and retention, program activity, public policy, diversity and leadership development.

6. He shall perform all duties inherent to his position and such other functions as maybe directed by the National Chairman or by the Charter National President.

F. THE NATIONAL VICE PRESIDENT FOR OPERATION is the Chief Operations Officer of CAGBII.

1. He shall assist the National President in the over-all CAGBII operations.

2. Enhances, develops, implements and enforces policies and procedures of the organization by way of systems that will improve its overall operation and effectiveness.

3. He shall plan, direct and coordinate operations in support of the CAGBII growth by way of his technical capacity, leadership, proficiency in communication, collaboration skills, diversity and inclusion, teamwork orientation and project management.

4. He shall formulate policies and strategic plans for future growth and managing daily operations of the organization.

5. He shall perform all duties inherent to his position and such other functions as maybe directed by the National Chairman or by the Charter National President.

G. THE NATIONAL SECRETARY GENERAL

1. He shall be an active channel for communication between the National Executive Council, Founder’s Committee, and members by providing proper notice of any meetings and timely distribution of materials such as agenda and meeting minutes. The secretary should be knowledgeable of the organization’s records and related materials, and should be able to provide advice and resources to the Council on relevant topics at issue, such as particular governance matters being addressed at a meeting.

2. He is tasked with knowing and complying with notice requirements and scheduling meetings to accommodate the National Executive Council.

3. He is charged with recording minutes of meetings. Minutes are an important organizational document and provide a memorialized chronology of key information. He should be well-equipped to record accurate minutes and be aware and sensitive to any special or confidential information discussed at a meeting.

4. He will manage the organization’s membership database. As the custodian of the organization’s records, he is responsible for maintaining accurate documentation as he is responsible for reviewing and updating documents as necessary and ensuring all documents are safely stored and readily accessible for inspection by the Council and or the members.

5. He shall formulate, develop and implement the standard operating procedures (SOP) and other implementing rules and regulations.

6. He shall receive the National Chairman and President’s directives and ensure that they are properly implemented.

7. He shall serve as the Spokesperson of CAGBII in the dissemination of information to the general membership and public, as authorized by the National Chairman and President.

8. He shall perform all duties inherent to his position and such other functions as maybe directed by the National Chairman or by the Charter National President.

H. LEGISLATIVE CHAIRPERSON

1. He shall draft, prepare or edit any amendments to the CAGBII Constitution and By- Laws and adopt or constitute any bills, resolutions, rules or other items which could advance a more transparent governance.

2. He shall review all bills and amendments prior to enforcing them.

3. He has a critical role in advocating for changes in law, policy, procedure and administrative rules.

4. He shall do review of initiatives with anyone who wishes to initiate an amendment to the CAGBII Constitution and By-Laws.

5. He shall provide support to CAGBII administration in several broad areas like administration, research and analysis, public relations and communications.

6. He shall perform such other duties and functions inherent to his position or as directed by the Chairman.

I. THE NATIONAL JUDICIARY, GRIEVANCE AND DISCIPLINE ADMINISTRATOR

1. He shall prepare and formulate rules and regulations in accordance with the provisions of this Constitution and By-laws, the Disciplinary Policy and the Grievance Procedure to standardize the operation of grievance and disciplinary processes of the association.

2. He shall ensure that equitable justice and due process, as defined in the Bill of Rights of the Constitution of the Philippines, shall be applied to all CAGBII members when taking cognizance of all complaints by any member or officer against another member or officer, and proper investigative procedure shall be followed.

3. He shall review all Investigation Reports submitted by all investigative bodies within the CAGBII assigned to conduct inquiry on any issue. He may affirm or revise the findings of the investigative bodies prior to endorsement of the same to the National Chairman.

4. He shall review all matters involving legality and justifiable issues in the organization.

5. He shall represent CAGBII in all legal actions for or against the organization, including but not limited to the filing of appropriate legal action against any
unauthorized, unlawful use of name, markings and logo of CAGBII that would undermine or destroy the integrity and name of the organization committed by non-members or expelled members of the association.

6. He shall perform all duties inherent to his position and such other functions as maybe directed by the National Chairman or by the Charter National President.

J. THE NATIONAL TREASURER is the property custodian of the organization.

1. He shall manage and oversee the management of the financial affairs of the organization, including basic tasks such as selecting a bank, reconciling bank statements or managing cash flow. He should create and maintain systems for ensuring the organization’s ongoing solvency and oversee the development of the organization’s financial policies such as check signing authority, expense reimbursement and petty cash policies.

2. He is responsible for preparing, or facilitating the preparation of an annual budget, as well as regularly monitoring actual expenses incurred against such budget that has been reviewed and approved by the National Executive Council, however, he should be prepared to explain and justify the document.

3. He should have a thorough knowledge and understanding of the organization’s financial reports and important financial ratios.

4. He shall update the organization of the financial status every scheduled meeting called for this purpose and shall have the financial record ready for audit or for examination by any member as part of the transparency policy of the organization.

5. He shall perform all duties inherent to his position and such other functions as maybe directed by the National Chairman or by the Charter National President.

K. THE NATIONAL ASSISTANT TREASURER

1. He shall perform all duties of the National Treasurer in his absence.

2. He shall help manage the custody of all funds belonging to the organization including intake, deposit, and distribution of payables.

3. He shall assist in all audits and monthly cash reconciliation.

4. He shall support the National Treasurer in processing financial information and conducting financial analysis.

5. He shall perform all duties inherent to his position and such other functions as maybe directed by the National Chairman or by the Charter National President.

L. THE NATIONAL AUDITOR is the bookkeeper of the organization.

1. He shall examine and audit all financial records of CAGBII to reconcile accounts and write financial statements.

2. He may adopt measures necessary to correct any deficiency of the audited books of the organization.

3. He shall keep the general accounts, vouchers and other important documents of the organization and have exclusive authority to define the scope of its audit and examinations, establish the techniques and methods required primarily on its accounting and auditing rules and regulations, including the prevention and disallowance of irregular and unnecessary expenditures.

4. He shall submit to the National Chairman a quarterly and annual report covering financial condition and operation of the whole organization subject to his audit.

5. He shall perform all duties inherent to his position and such other functions as maybe directed by the National Chairman or by the Charter National President.

M. THE NATIONAL PUBLIC RELATIONS OFFICER is the chief advocate for the organization and the mouthpiece for the Council.

1. He shall craft communication policies and oversee the development of all statements and news releases for the organization.

2. He shall be responsible for media placements and in coordinating organizational functions. He plans for public relations programs including cost budgets.

3. He shall liaise with the public and respond to inquiries. He shall evaluate communication activities and recommends future actions.

4. He shall be the media’s main contact for news about the organization. He shall write press releases for the media about upcoming events and cultivates relationships with members of the local and national media.

5. He is in charge of communicating information about her organization to the community.

6. He shall perform all duties inherent to his position and such other functions as maybe directed by the National Chairman or by the Charter National President.

N. THE NATIONAL VICE PRESIDENT FOR OPERATION FOR NORTHERN MINDANAO

1. His duty is similar to the National Vice President for Operations but his main concern is concentrated in Northern Mindanao.

2. He shall perform all duties inherent to his position and such other functions as maybe directed by the National Chairman or by the Charter National President.

O. THE NATIONAL VICE PRESIDENT FOR OPERATION FOR SOUTHERN MINDANAO

1. His duty is similar to the National Vice President for Operations but his main concern is concentrated in Southern Mindanao.

2. He shall perform all duties inherent to his position and such other functions as maybe directed by the National Chairman or by the Charter National President.

P. THE NATIONAL VICE PRESIDENT FOR OPERATION FOR RIZAL-LAGUNA

1. His duty is similar to the National Vice President for Operations but his main concern is concentrated in Rizal-Laguna Area.

2. He shall perform all duties inherent to his position and such other functions as maybe directed by the National Chairman or by the Charter National President.

Section 3. The election of National Executive Officers is held every after two (2) years. All of the posts mentioned on Section 2 will be elected, with the exception of the National Chairman, who will remain in his post, except upon willful resignation or in cases that he will be overthrown legally because of corruption, immorality and unlawful leadership.

Section 4. The National Executive Council appoints National Founders and any other ranking members to constitute the Council.

Section 5. All members of the National Executive Council may enlist the assistance of the other National Executive Council Officers towards the successful accomplishment of their duties and functions. They may appoint CAGBII Officers or members to be assigned to their office to complement their workforce.
